1. Definitions

In these Terms and Conditions, the following terms have the meanings given:

  • "Agreement" means these Terms and Conditions together with any signed Scope of Work.
  • "Service" means the consulting engagements and related deliverables provided by Sila Accord.
  • "Client" / "You" / "User" means any individual or organization that accesses our website or engages our services.
  • "We" / "Us" / "Sila Accord" means Sila Accord Co., Ltd., registered in Bangkok, Thailand.
  • "Deliverables" means documents, frameworks, plans, and other outputs specified in a signed Scope of Work.
  • "Website" means the website operated by Sila Accord at https://sila-accord.info.

2. Acceptance of Terms

By accessing this website or engaging Sila Accord's services, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. Use of this website and engagement of services constitutes acceptance of these Terms and Conditions. If you do not agree, please discontinue use of the website and do not proceed with a service engagement.

3. Service Description

Sila Accord provides management consulting services focused on executive onboarding program design, data-informed decision frameworks, and corporate social responsibility program design. Services are delivered through structured, time-bound engagements with defined deliverables as set out in a signed Scope of Work document. Services are primarily delivered in Bangkok, Thailand, and remotely across Southeast Asia. Geographic restrictions may apply for certain regulatory or logistical reasons.

4. Service Engagements

All service engagements require a signed Scope of Work document specifying deliverables, timeline, fees, and any specific terms. The Scope of Work, together with these Terms and Conditions, constitutes the full agreement between Sila Accord and the Client. In the event of conflict, the signed Scope of Work takes precedence over these general Terms.

Engagements are project-based with defined end dates. Sila Accord does not offer open-ended retainer arrangements under its standard service model.

5. Client Responsibilities

To support successful delivery of engagements, Clients agree to:

  • Provide timely access to stakeholders, documentation, and information as reasonably required.
  • Designate an internal point of contact for the duration of each engagement.
  • Review and provide feedback on draft deliverables within the timelines agreed in the Scope of Work.
  • Ensure that any information shared with Sila Accord does not infringe third-party rights.
  • Use deliverables in accordance with the purposes for which they were developed.

6. Prohibited Activities

When using this website, you agree not to:

  • Use the website for any unlawful purpose or in violation of applicable Thai or international law.
  • Attempt to gain unauthorized access to any part of the website or its systems.
  • Transmit harmful, defamatory, or misleading content through any contact mechanism.
  • Reproduce or distribute website content without written permission from Sila Accord.
  • Use automated systems to scrape or copy website content.

7. Intellectual Property

All content on this website — including text, design elements, and methodological descriptions — is the intellectual property of Sila Accord and may not be reproduced without written consent.

Regarding engagement deliverables: upon full payment of the agreed fee, Clients receive a non-exclusive, non-transferable license to use deliverables for internal organizational purposes only. Sila Accord retains ownership of underlying methodologies, frameworks, and tools used in the production of deliverables.

8. Payment Terms

All fees are quoted and invoiced in Thai Baht (฿). Payment schedules are specified in each Scope of Work. Standard payment terms are 50% upon project commencement and 50% upon delivery of final outputs, unless otherwise agreed in writing.

Late payment may result in suspension of services. Sila Accord reserves the right to charge interest on overdue amounts at the rate permitted under Thai law.

Refunds are assessed on a case-by-case basis where Sila Accord is unable to deliver agreed outputs due to circumstances within our control.

9. Confidentiality

Sila Accord operates under mutual non-disclosure agreements for all client engagements. Client information shared during projects is treated as confidential and is not disclosed to third parties except as required by law or as specified in these Terms. Clients accept equivalent confidentiality obligations regarding Sila Accord's proprietary methodologies and internal materials shared during engagements.

10. Disclaimers

Sila Accord provides consulting services based on professional judgment and available information. We do not warrant specific business outcomes from the use of our deliverables. All consulting services are provided "as is" based on the information available during the engagement. Recommendations are made in good faith but do not constitute legal, financial, or regulatory advice unless specifically stated. Clients are responsible for decisions made based on consulting outputs.

11. Limitation of Liability

To the maximum extent permitted by Thai law, Sila Accord's aggregate liability arising from or in connection with any engagement shall not exceed the total fees paid by the Client for the relevant engagement. Sila Accord shall not be liable for indirect, consequential, or special damages, loss of profits, or loss of data arising from the use of our services or website content.

12. Indemnification

The Client agrees to indemnify and hold Sila Accord harmless from claims, liabilities, damages, and costs (including reasonable legal fees) arising from: misuse of deliverables beyond their intended purpose; inaccurate information provided to Sila Accord during an engagement; or violation of these Terms and Conditions.

13. Termination

Either party may terminate an engagement with written notice if the other party materially breaches these Terms or the signed Scope of Work and fails to remedy the breach within 14 days of written notice. Upon termination, Sila Accord will invoice for work completed to the date of termination. Sections 7, 9, 10, 11, and 12 survive termination.

14. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of Thailand. In the event of a dispute, the parties agree first to attempt resolution through good-faith negotiation within 30 days. If unresolved, disputes shall be referred to the competent courts of Bangkok, Thailand.

15. General Provisions

These Terms, together with any signed Scope of Work, constitute the entire agreement between the parties. If any provision is found unenforceable, the remaining provisions remain in full effect. Failure to enforce any provision does not constitute a waiver. These Terms may not be assigned by the Client without Sila Accord's written consent.

16. Changes to These Terms

We may update these Terms from time to time. Changes are effective upon publication to this website. Continued use of the website or engagement of services after changes are posted constitutes acceptance. For active engagements under a signed Scope of Work, existing terms remain in effect unless amended by mutual written agreement.
